1. Introduction
Welcome to NAXAS INVENTIONS LIMITED ("NAXAS", "Company", "we", "our", or "us").
NAXAS is a Bangladesh-based technology company providing Enterprise Resource Planning (ERP), Software as a Service (SaaS), Cloud Solutions, Artificial Intelligence (AI), Business Process Automation, Mobile Applications, and Digital Transformation Services.
These Terms & Conditions ("Terms") govern access to and use of our corporate website, software products, applications, subscriptions, licensing arrangements, and related services.
By creating an account, purchasing a subscription, accepting a service agreement, or using our products and services, you agree to these Terms.
If you are using our services on behalf of an organization, you represent that you have the authority to accept these Terms on its behalf.
If you do not agree to these Terms, you must not use the relevant services.
2. Scope of Services
These Terms apply to NAXAS products and services, including:
NAXAS ERP: Engineering ERP with Project Management.
NAXAS ERP Pro: Trading and Production Business Automation.
Asset Cloud: Cloud-Based Asset Management.
NAXAS TravelOS: Travel Agency ERP and Automation.
NAXAS Fly (NaxasFly): B2B Online Travel Agency Technology Platform.
NAXAS HireFlow: Overseas Recruitment Management and Automation.
NaxasNgage: AI-Powered Customer Engagement and Social Media Automation.
NAXAS FoodFlow: Restaurant and Food Business Management.
NaxTime: Corporate Task and Team Management Mobile Application.
Nagorik Health: Integrated Digital Healthcare Ecosystem.
These Terms also apply to future products and services that reference them.
Specific products may have additional service agreements, licensing terms, or commercial conditions.
Where a signed agreement expressly conflicts with these general Terms, the signed agreement will prevail for the relevant service.
3. Account Registration and Responsibilities
Users may be required to register an account to access certain NAXAS services.
You agree to:
Provide accurate and complete registration information.
Maintain the confidentiality of your login credentials.
Prevent unauthorized access to your account.
Use the services only for lawful and authorized purposes.
Notify NAXAS promptly of suspected unauthorized access or security incidents involving your account.
You are responsible for activities conducted through your account to the extent attributable to you or your authorized users.
NAXAS reserves the right to suspend access when reasonably necessary to address security threats, fraudulent activity, or material violations of these Terms.
4. Subscription and Licensing Models
NAXAS may provide software and digital services under different commercial models.
4.1 Subscription-Based Services
Customers may subscribe to selected products on a monthly, annual, or other agreed billing cycle.
Subscription fees, user limits, features, storage capacity, and service availability will be determined by the selected package or applicable commercial agreement.
4.2 One-Time Software License
Certain products may be offered under a one-time licensing arrangement.
A one-time license grants the customer the software usage rights expressly specified in the applicable licensing agreement.
Unless otherwise agreed in writing, a one-time license does not transfer ownership of the software, source code, underlying technology, or intellectual property.
Hosting, maintenance, technical support, third-party APIs, and future development may involve additional charges.
4.3 Enterprise and Customized Solutions
Enterprise deployments, custom development, dedicated hosting, and system integrations will be governed by the applicable proposal, Statement of Work (SOW), or service agreement.
5. Pricing, Payment, and Billing
Customers agree to pay the fees specified in their selected subscription plan, invoice, proposal, or service agreement.
The following conditions apply:
Subscription fees are payable according to the agreed billing cycle.
Initial setup and implementation fees may apply.
Applicable taxes, duties, and government charges may be added where required.
Additional users, modules, storage, customization, and integrations may incur additional charges.
Third-party service fees may be charged separately.
Subscription renewal and payment arrangements will follow the applicable plan or agreement.
NAXAS may revise its pricing from time to time.
Existing customers will be informed of changes affecting their subscriptions in accordance with their applicable agreements and legal requirements.
Failure to make payments may result in service restrictions or suspension following any applicable notice and cure period.
6. Subscription Renewal and Cancellation
Subscription renewal will follow the terms of the customer's selected package or signed agreement.
Where automatic renewal applies, the relevant billing terms will be disclosed before the customer subscribes.
Customers may request cancellation through the applicable account management process or by contacting NAXAS.
Cancellation will take effect according to the relevant subscription terms.
Any outstanding fees, contractual commitments, or agreed minimum subscription periods will remain subject to the applicable agreement.
7. Refund Policy
Refund eligibility depends on the nature of the purchased product, service delivery status, applicable agreement, and relevant legal requirements.
The following general principles apply:
Refunds for subscription services will follow the applicable subscription and cancellation terms.
Setup and implementation fees will be assessed according to the work already performed and the applicable agreement.
Customized software and development services will be subject to their agreed milestones and contractual conditions.
Third-party fees will be subject to the relevant provider's terms.
Any mandatory refund rights provided by applicable law will remain unaffected.
Customers should review the applicable Refund & Cancellation Policy and commercial agreement before making a purchase.
8. Software Ownership and Intellectual Property
All rights, titles, and interests in NAXAS software, applications, source code, system architecture, designs, trademarks, documentation, and proprietary technologies remain the property of NAXAS INVENTIONS LIMITED or their respective lawful owners, except where otherwise agreed in writing.
Customers receive only the usage rights expressly granted under their applicable subscription or licensing agreement.
Without appropriate written authorization, users must not:
Copy, redistribute, or resell NAXAS software.
Reverse engineer or attempt to extract proprietary source code, except where permitted by applicable law.
Remove proprietary notices or trademarks.
Sublicense or transfer software usage rights beyond the applicable agreement.
Use NAXAS intellectual property for unauthorized commercial purposes.
Ownership and usage rights for custom-developed deliverables will be determined by the relevant development agreement.
9. Customer Data Ownership
Customers retain their rights and interests in the business information, documents, records, and other data they submit to NAXAS platforms, subject to applicable law and third-party rights.
NAXAS does not acquire ownership of customer business data merely by hosting or processing it.
Customers grant NAXAS the limited rights necessary to host, process, transmit, back up, and otherwise handle their data for the purpose of delivering the contracted services.
Customers are responsible for ensuring that they have the necessary rights and lawful authority to upload and process information through our platforms.
Data processing, retention, access, and deletion will be governed by our Privacy Policy, applicable service agreements, and legal requirements.
10. Data Security and Confidentiality
NAXAS is committed to implementing appropriate technical and organizational measures to protect customer information and maintain system security.
We may use access controls, authentication mechanisms, encryption, activity monitoring, and backup procedures as appropriate to the relevant service.
Customers are responsible for managing their authorized users, access permissions, and internal data-handling practices.
Both parties must comply with applicable confidentiality obligations and any separately executed Non-Disclosure Agreement (NDA).
No internet-based service or digital system can be guaranteed to be completely free from security risks.
11. Hosting, Maintenance, and Technical Support
Hosting, maintenance, technical support, system updates, and backup services will be provided according to the customer's selected package or applicable agreement.
NAXAS may perform scheduled maintenance, security updates, and necessary infrastructure improvements.
Where reasonably practicable, advance notice will be provided for planned maintenance that materially affects service availability.
Specific service availability commitments, response times, resolution targets, and support coverage will be defined in the applicable Service Level Agreement (SLA), where one is provided.
12. Third-Party Services and Integrations
Certain NAXAS products may integrate with external platforms, including payment gateways, airline systems, Global Distribution Systems (GDS), social media platforms, messaging services, cloud providers, and other third-party technologies.
Customers acknowledge that:
Third-party services may have separate fees and contractual terms.
Access may depend on the customer's eligibility, authorization, or third-party approval.
External providers may change their APIs, pricing, features, or availability.
NAXAS cannot guarantee the uninterrupted availability of services outside its reasonable control.
NAXAS will fulfill its own contractual responsibilities regarding integration, maintenance, and support as specified in the applicable agreement.
13. Artificial Intelligence and Automated Services
Certain NAXAS products may include AI-powered automation, recommendations, reporting, communication, or analytical features.
AI-generated outputs may contain errors, inaccuracies, or incomplete information.
Customers are responsible for applying appropriate human review when using automated outputs for important business, financial, employment, healthcare, or other consequential decisions.
AI features must not be used for unlawful, discriminatory, deceptive, or otherwise prohibited activities.
Additional AI-related terms may apply to specific products.
14. Product-Specific Responsibilities
14.1 NaxasFly and TravelOS
NAXAS provides travel technology and business automation solutions.
Customers operating travel businesses remain responsible for their applicable licenses, regulatory compliance, customer transactions, booking policies, and contractual obligations to travel suppliers.
NAXAS does not become the travel agency or travel service provider merely by licensing its technology.
14.2 HireFlow
Recruitment agencies and other organizational customers remain responsible for complying with applicable recruitment, employment, immigration, and overseas employment requirements.
14.3 Nagorik Health
Nagorik Health provides digital healthcare technology and related platform services.
Healthcare providers remain responsible for their professional services, clinical decisions, medical advice, prescriptions, and applicable regulatory obligations.
The platform does not replace the professional judgment of a qualified healthcare provider.
14.4 NaxasNgage
Customers are responsible for their social media content, customer communications, platform permissions, and compliance with the policies of connected third-party platforms.
15. Acceptable Use
Customers and users must not use NAXAS services to:
Conduct illegal or fraudulent activities.
Gain unauthorized access to systems or information.
Distribute malware or malicious software.
Violate intellectual property or privacy rights.
Interfere with the security or performance of the services.
Send unlawful spam or deceptive communications.
Process information without the required legal authority.
NAXAS may take reasonable measures to investigate and address violations, including restricting or suspending affected services where necessary.
16. Service Availability and Modifications
NAXAS aims to maintain reliable and efficient services.
However, service interruptions may occur because of maintenance, infrastructure failures, third-party disruptions, cybersecurity incidents, or circumstances beyond reasonable control.
We may improve, update, or modify our products to maintain security, functionality, and service quality.
Material changes affecting contracted features or service commitments will be handled according to the applicable agreement and legal requirements.
17. Limitation of Liability
To the maximum extent permitted by applicable law, NAXAS will not be liable for indirect, incidental, special, or consequential losses arising from the use of its services, except where such liability cannot lawfully be excluded.
Any agreed financial limitation on liability will be governed by the applicable service agreement.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or restricted.
18. Termination of Services
Either party may terminate a service in accordance with the applicable subscription, licensing, or service agreement.
NAXAS may suspend or terminate services where justified by a material contractual violation, unlawful use, security risk, or other grounds expressly permitted by the applicable agreement or law.
Upon termination, access to the relevant services may end.
Customer data export, retention, and deletion will be handled according to the applicable agreement, Privacy Policy, and legal requirements.
19. Force Majeure
Neither party will be responsible for delays or failures in performing contractual obligations to the extent caused by events beyond its reasonable control, subject to applicable law.
Such events may include natural disasters, major infrastructure failures, war, civil emergencies, government restrictions, or widespread telecommunications disruptions.
The affected party must take reasonable steps to mitigate the impact and resume performance when practicable.
20. Governing Law and Dispute Resolution
These Terms will be governed by and interpreted in accordance with the applicable laws of Bangladesh.
The parties will first attempt to resolve disputes through good-faith discussions.
If a dispute cannot be resolved amicably, it will be referred to the courts of competent jurisdiction in Bangladesh, unless the applicable agreement specifies another lawful dispute resolution mechanism.
21. Changes to These Terms
NAXAS may update these Terms to reflect changes in its products, business operations, or applicable legal requirements.
Updated Terms will be published on our website with a revised effective date.
Where required by law or the applicable agreement, we will provide advance notice or obtain the necessary acceptance before material changes take effect.
